These Terms of Service ("Terms") govern your use of the website webfoundry.ca and the services provided by WebFoundry ("we," "us," or "our"). By signing up for or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

Our Services

WebFoundry provides website design, development, hosting, and maintenance services for trades businesses in Ontario, Canada. Our service model works as follows: we build your website at no upfront cost, and you pay a monthly subscription fee for ongoing hosting, maintenance, and support.

Subscription Plans and Pricing

Our current plans range from $199 to $395 per month. Pricing is subject to change, but any price increases will not affect your current subscription term without 30 days written notice.

All subscriptions are month-to-month. There are no long-term contracts. You are billed monthly starting from the date your website goes live and you approve the final design.

Free Website Build

We build your website at no upfront cost as part of your subscription. The website build is included in your monthly plan and is not a separate service. You do not owe anything until your website is live and you have approved the design.

Payment Terms

Monthly subscription fees are due on the same date each month, corresponding to the date your subscription started. Payments are processed automatically through Stripe. If a payment fails, we will notify you and attempt to process the payment again. If payment is not received within 14 days of the due date, we reserve the right to suspend your website until the account is brought current.

Cancellation

You may cancel your subscription at any time by providing 30 days written notice to [email protected]. Upon cancellation, your website will remain active until the end of your current billing period. After that, your website will be taken offline.

If you wish to reactivate your website after cancellation, please contact us. Reactivation may be subject to a setup fee depending on how long the site has been inactive.

Content Ownership

You own all content you provide to us, including text, images, logos, and other materials you supply for your website. You grant us a license to use this content solely for the purpose of building, hosting, and maintaining your website.

The website design, code, templates, and structure created by WebFoundry remain the intellectual property of WebFoundry. If you cancel your subscription, you retain ownership of your content (text, images, and other materials you provided), but the website design and code remain with us.

Upon cancellation, we will provide you with your content (text and images) in a standard format upon request within 30 days of cancellation.

Website Hosting

We host all websites on our infrastructure. Your subscription includes hosting, SSL security, regular backups, and uptime monitoring. We aim for 99.9 percent uptime but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance whenever possible.

Acceptable Use

You agree not to use our services for any unlawful purpose, to host content that infringes on the intellectual property rights of others, to distribute malware or engage in phishing, to send spam or unsolicited commercial messages through your website, or to engage in any activity that could harm our infrastructure or other customers.

We reserve the right to suspend or terminate your account if you violate these terms.

Your Responsibilities

You are responsible for providing accurate business information for your website, responding to our requests for content and feedback in a timely manner, ensuring that any content you provide does not infringe on third-party rights, and maintaining the security of your account credentials.

Limitation of Liability

To the maximum extent permitted by law, WebFoundry shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of our services.

Our total liability for any claim arising from these Terms or our services shall not exceed the total amount you paid to us in the three months preceding the claim.

Indemnification

You agree to indemnify and hold harmless WebFoundry, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of our services, your content, or your violation of these Terms.

Changes to These Terms

We may update these Terms from time to time. We will notify you of any material changes by email or by posting a notice on our website. Your continued use of our services after such changes constitutes your acceptance of the updated Terms.

Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario.
